NOTICE OF CHANGE IN CONTROL
David E. Rainbolt GST Trust, dated September 15, 1997, Oklahoma City, Oklahoma, trustee BancFirst, Oklahoma City, Oklahoma, and trust supervisors Dana Kim Rainbolt, Oklahoma City, Oklahoma, Adam Duston Rainbolt, Oklahoma City, Oklahoma, Samuel Johnson Rainbolt, Oklahoma City, Oklahoma, and Jacob Patrick Rainbolt, Oklahoma City, Oklahoma, of the aforementioned trust; and David and Kim Rainbolt Foundation, Oklahoma City, Oklahoma, and directors David E. Rainbolt, Oklahoma City, Oklahoma, Dana Kim Rainbolt, Adam Duston Rainbolt, Samuel Johnson Rainbolt and Jacob Patrick Rainbolt, of the aforementioned foundation, intend to apply to the Federal Reserve Board for permission to retain shares and join the Rainbolt Family Control Group, a group acting in concert, that owns 25% or more of the voting shares and thereby controls BancFirst Corporation, Oklahoma City, Oklahoma. David E. Rainbolt has previously been permitted by the Federal Reserve System to acquire control of 25% or more of the voting shares of BancFirst Corporation and is a member of the Rainbolt Family Control Group. BancFirst Corporation controls BancFirst, Oklahoma City, Oklahoma; Pegasus Bank, Dallas, Texas; and Worthington Bank, Arlington, Texas. The Federal Reserve considers a number of factors in deciding whether to approve the notice.
